Terms and Conditions of Sale – TCS

1. Purpose

These Terms and Conditions of Sale (hereinafter referred to as the “TCS”) govern the contractual relationship between TechFox Solutions, represented by Hadrien Occelli, hereinafter referred to as the “Service Provider”, and any individual or legal entity wishing to benefit from its services, hereinafter referred to as the “Client”.

Any order implies full and unconditional acceptance of these TCS.

3. Services provided

TechFox Solutions provides, without limitation, the following services:

  • custom illustration and graphic design services;

  • technological consulting and advisory services;

  • accessibility, usability and digital audits;

  • creation, improvement and support of accessible websites;

  • long-term project support and assistance.

Each service is subject to a written quotation specifying the scope, billing method, estimated budget, deadlines and any specific applicable conditions.

Validation of the quotation by the Client constitutes a firm order.

4. Billing and payment terms

4.1 Deposit

Unless otherwise stated in the quotation, a 25% deposit of the estimated total amount is required upon order confirmation.
No work shall begin until the deposit has been received.

The deposit corresponds to the initial mobilisation of the Service Provider and is non-refundable.

4.2 Billing methods

Depending on the nature of the services, billing may be based on one of the following methods:

a) Time-based billing

Certain services are billed based on the actual time spent on the project (daily or hourly rate specified in the quotation).
Time spent is declared by the Service Provider and invoiced periodically (monthly unless otherwise specified).

b) Monthly commitment billing

Certain services involve a fixed monthly commitment expressed in days per month, over a defined period (e.g. X days per month over several months).
Billing is monthly and fixed, regardless of how tasks are distributed within the period.

c) Fixed-price budget billing

Certain services, particularly creative or illustrative work, are subject to a defined overall budget.
The Service Provider organises their working time freely within the approved scope and budget, without any obligation to provide a detailed time breakdown.

The applicable billing method is the one specified in the validated quotation.

4.3 Invoicing and payment deadlines

Unless otherwise stated in the quotation, invoices are issued monthly or according to the agreed schedule and are payable within 30 calendar days from the date of issue.

Payment is made exclusively by bank transfer.

4.4 Late payment

In the event of late payment, late payment penalties shall apply automatically, without prior notice, from the day following the due date stated on the invoice.

The penalty rate corresponds to the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, in accordance with Article L441-10 of the French Commercial Code.

A fixed compensation of €40 for recovery costs is also payable by operation of law.

In the event of non-payment, the Service Provider reserves the right to immediately suspend the services in progress until full payment is received, without this constituting a contract termination.

Any additional recovery costs remain payable by the Client.

5. Cancellation and interruption of services

In the event of cancellation or interruption of the services at the Client’s initiative:

  • the deposit paid remains the property of the Service Provider;

  • work already completed or time already spent is due and billable;

  • no refund may be claimed for services that have already begun.

Any cancellation must be notified in writing.

6. Deadlines and deliverables

Delivery times are defined in the quotation and may evolve depending on:

  • exchanges and validations by the Client;

  • requests for modifications;

  • technical or organisational constraints.

Unless otherwise specified in the quotation, one hour of revisions is included for illustration and website creation services.

Deliverables are provided electronically (by email or secure download link).

7. Website maintenance and updates

When maintenance is included in the quotation, TechFox Solutions provides the updates defined within the agreed scope.
Otherwise, website deployment, hosting and maintenance remain the responsibility of the Client.

8. Right of withdrawal

As the services provided by TechFox Solutions are customised and intended for professional use, no right of withdrawal applies, in accordance with applicable regulations, unless otherwise agreed in writing.

9. Intellectual property

TechFox Solutions remains the holder of all copyrights relating to the creations produced.

Upon full payment of the services, the Client is granted a non-exclusive right of use, limited to the scope defined in the quotation.

Any reproduction, modification, distribution, resale or unauthorised use without prior written consent is strictly prohibited.

Extended or commercial rights assignments may be agreed upon separately and subject to additional fees.

10. Liability

The Service Provider is bound by an obligation of means.
It cannot be held liable for indirect damages or consequences resulting from improper use of the deliverables by the Client.

11. Force majeure

TechFox Solutions shall not be held liable for delays or failures resulting from events beyond its control, including illness, technical failures, unavailability, or force majeure events.

12. Applicable law and disputes

These TCS are governed by French law.

In the event of a dispute, the parties agree to seek an amicable solution prior to any legal action.
Failing this, the competent courts shall be those within the jurisdiction of the Service Provider’s place of residence.
